Terms of Service

1. Service Operator
droppd is operated by:
References to “droppd”, “we”, “us”, or “our” refer to the operator identified above.
2. Definitions
- Service — the droppd platform at droppd.co, including all features and APIs.
- Owner — a registered user who creates and manages project spaces.
- Client — any person who accesses a project space via a shared link, without necessarily having an account.
- Project — a temporary shared workspace created by an Owner for the exchange of files with Clients.
- Content — any files, data, or information uploaded by Owners or Clients.
3. Eligibility and Account Registration
To register as an Owner, you must be at least 18 years of age and have the legal capacity to enter into a binding contract. By registering, you confirm that all information provided is accurate and complete.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@droppd.co of any unauthorised use.
4. Description of Service
droppd provides a platform for the bidirectional exchange of files between Owners and Clients. Features include:
- Creation and management of project spaces with configurable expiry dates;
- Uploading and downloading of files within project spaces;
- Real-time notifications upon file activity;
- Audit trail of file exchange events;
- White-label branding options (Pro plan and above).
The Service is available on Free, Pro, and Team plans as described at droppd.co/pricing. Features are subject to change with reasonable notice.
5. Acceptable Use
5.1 Permitted use
You may use the Service solely for lawful purposes and in accordance with these Terms, and only to exchange files for which you have the necessary rights and permissions.
5.2 Prohibited conduct
You must not use the Service to:
- Upload, share, or distribute Content that is illegal, harmful, threatening, abusive, defamatory, obscene, or that violates any applicable law;
- Upload Content that infringes the intellectual property, privacy, or other rights of any third party;
- Upload or distribute malware, viruses, ransomware, spyware, or any other malicious code;
- Upload, share, or distribute child sexual abuse material (CSAM) or any content that exploits minors — this is a serious criminal offence and will be reported to the competent authorities immediately;
- Attempt to gain unauthorised access to any part of the Service or another user's account;
- Overload, damage, or impair the platform or interfere with other users' use of the Service;
- Circumvent any access controls, technical limitations, or security measures;
- Resell or sublicense the Service without our prior written consent;
- Use automated tools to scrape or extract data from the Service without authorisation.
We reserve the right to remove any Content that violates these provisions and to report unlawful activity to the competent authorities without prior notice.
6. Content and Intellectual Property
6.1 Your Content
You retain all intellectual property rights in the Content you upload. By uploading Content, you grant droppd a limited, non-exclusive, worldwide, royalty-free licence to store, reproduce, and transmit your Content solely to the extent necessary to provide the Service.
You warrant that you own or have the necessary rights to upload the Content, that it does not infringe any third-party rights, and that it complies with these Terms and applicable law.
6.2 droppd intellectual property
All rights in the droppd platform — including software, design, trademarks, and branding — are owned by or licensed to the operator. Nothing in these Terms grants you any rights in the platform other than the limited right to use the Service as described herein.
7. Liability for Content
droppd acts as a passive conduit for the transmission and temporary storage of Content uploaded by users. We do not proactively monitor or review the contents of files.
You are solely responsible for all Content you upload or share through the Service. droppd accepts no liability for user-uploaded Content, including for any loss, damage, or legal consequences arising from it.
We reserve the right — but do not assume the obligation — to remove Content that comes to our attention as unlawful or in breach of these Terms. To report unlawful Content, contact: support@droppd.co.
8. Payments, Plans, and Refunds
8.1 Subscription plans
Paid plans are billed monthly or annually as selected at checkout. Pricing is available at droppd.co/pricing.
8.2 Payment processing
Payments are processed by Stripe, Inc. droppd does not store your payment card details.
8.3 Cancellation
You may cancel at any time via Account › Billing. Cancellation takes effect at the end of the current billing period; no refunds are issued for the unused portion unless required by applicable law.
8.4 Upgrades and downgrades
Upgrades take effect immediately with prorated billing. Downgrades take effect at the next renewal date.
8.5 Failed payments
If payment fails, we will notify you by email. After a reasonable grace period, we reserve the right to downgrade your account to the Free plan.
8.6 Taxes
All prices are exclusive of applicable taxes (including VAT/IVA), which will be added to your invoice where required by law.
9. Account Suspension and Termination
9.1 Termination by you
You may delete your account at any time via Account › Danger Zone. Your data will be erased in accordance with our Privacy Policy.
9.2 Suspension or termination by us
We may suspend or terminate your account immediately, without prior notice, if:
- You materially breach these Terms;
- We are required to do so by law or a competent authority;
- Your use poses a risk to the platform, other users, or third parties;
- Your Free plan account has been inactive for an extended period (with advance email notice).
9.3 Effect of termination
Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 10, 11, and 12 survive termination.
10. Service Availability and Changes
We endeavour to maintain the Service available 24/7 but do not guarantee uninterrupted access. We reserve the right to modify or discontinue features with reasonable notice. Material changes affecting paid functionality will be notified by email.
11. Limitation of Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by applicable law.
12. Indemnification
You agree to indemnify and hold harmless droppd from any claims, damages, and expenses (including legal fees) arising from: (a) your breach of these Terms; (b) Content you upload or share; or (c) your violation of any applicable law or third-party rights.
13. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. You use the Service at your own risk.
14. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Italy. Any dispute shall be subject to the exclusive jurisdiction of the courts of [CITY — e.g. Milano], Italy, unless mandatory consumer protection laws in your country of residence provide otherwise.
EU residents may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
16. Changes to These Terms
We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.
17. Miscellaneous
Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and droppd regarding the Service. Severability: If any provision is found invalid, the remaining provisions continue in full force. Waiver: Failure to enforce any provision does not constitute a waiver. Assignment: You may not assign your rights without our prior written consent. Force majeure: We are not liable for failures caused by circumstances beyond our reasonable control.
